Board of Directors and Bylaws Connexus Energy’s Board of Directors is responsible for setting policy for the largest distribution electric cooperative in the state of Minnesota.

Directors are committed to policies that result in a safe and reliable electric system, fair rates, financial responsibility, and superior member service. The results of these policies are evident: our rates are among the lowest in Minnesota; our power reliability is in the top quartile of all electric utilities in the country; and we meet or exceed expectations for 97 percent of our members.

Director Responsibilities Mission
The Board regularly evaluates whether decisions and policies help the Cooperative successfully further its mission to be “Committed to customer satisfaction through service, leadership, and involvement.”

Governance
The Board of Directors approves business rules which govern the Cooperative’s dealings with members.

Financial oversight
The Board of Directors establishes financial targets and goals and approves the Cooperative’s budget. Board members also review and approve rates and terms for providing electric service to Cooperative members, loans and acquisitions, and the retirement and distribution of Cash Back (capital credits). The Board is responsible for evaluating periodic financial statements, reports and information, and considering internal control procedures.

Legislative
Connexus’ Directors develop and represent the Cooperative’s legislative position at the local, state, and national level.

Legal and ethical accountability
Connexus Board members adopt and enforce policies, resolutions, and actions governing ethical conduct, accountability, and compliance with applicable laws and regulations.

Operational oversight
The Board discharges its duty to manage the affairs of the Cooperative by delegating day-to-day management and operational responsibilities to the Chief Executive Officer (CEO). The CEO is hired by and answers to the Board.

Director District Map The Connexus Energy service territory is divided into four director districts with two director seats in each district. The district boundaries are designed as stipulated in the cooperative's bylaws (Article III, Section 2(a), page 5).
